Terms of Service

These Terms of Service (the “Terms”) govern the use of Delia, including its website, web application and Chrome extension (the “Service”), provided by OSIAX S.R.L., Viale Villa Gavotti 81/2, 16155 Genoa (GE), Italy, VAT and tax code 03095520999 (“OSIAX”, “we”, “us”). By creating an account or using the Service, the user accepts these Terms. Anyone who does not accept them must not use the Service.

How we process personal data is described in our Privacy Policy and Cookie Policy.

Delia is an AI sales assistant. The user connects their own LinkedIn, X and Instagram accounts through a Chrome extension running in the user’s own browser. Delia finds prospects that match the user’s offer, reads their public profiles and posts, likes, follows and comments, sends messages and replies on the user’s behalf, and books meetings through Calendly or Cal.com links. The user approves the plan and can take over any conversation.

Delia never asks for social network passwords: it works through the sessions the user is already signed in to in Chrome.

The Service is intended for business and professional use. To use it, the user must be at least 18 years old and able to enter into a binding contract, and, when acting for a company or organization, must be authorized to accept these Terms on its behalf.

The user must provide accurate information, keep their login credentials confidential and notify us promptly of any unauthorized use of the account. The user is responsible for all activity carried out through their account and through the social accounts they connect.

The user is responsible for:

• complying with the terms and policies of LinkedIn, X and Instagram;
• complying with applicable law, including data protection law (GDPR) and anti-spam rules;
• having a lawful basis for contacting prospects (typically legitimate interest in business-to-business outreach) and honouring every objection;
• the content of their offer and the accuracy of what is said about it.

For outreach to prospects, the user is the data controller and OSIAX processes prospect data on the user’s behalf and on the user’s instructions, as described in the Privacy Policy.

Delia is an independent service and is not sponsored or endorsed by LinkedIn, X or Instagram. The use of those platforms remains subject to their own terms.

Platforms may restrict, limit or suspend accounts that use automation tools. OSIAX does not guarantee any result (such as replies, meetings or sales) and does not guarantee that connected accounts will not be limited or suspended. The user uses the Service at their own risk.

Messages, analyses and answers produced by AI may contain errors or inaccuracies. The user is responsible for everything sent in their name, can review the plan and the conversations and can take over any conversation at any time.

The user must not use the Service to:

• send spam or unsolicited messages to consumers;
• send illegal, misleading or deceptive content, or impersonate any person or entity;
• harass, threaten or abuse anyone;
• collect or extract data beyond what the Service does to provide its functions;
• attempt to gain unauthorized access to the Service or other systems, or interfere with their operation;
• resell, sublicense or redistribute the Service without our written authorization.

• Use of AI in the Service consumes AI credits. Credits are purchased through Stripe at the prices shown at the time of purchase.
• Credits that have been used are not refundable, except where required by law.
• New accounts may receive free starting credits. Their amount and conditions may change, and they have no cash value.
• Payment data is handled by Stripe; card details are not stored on our servers.

The user can stop using the Service and delete their account at any time. OSIAX may suspend or terminate access to the Service if the user breaches these Terms or applicable law, if use of the Service puts the security of the Service, other users or third parties at risk, or where required by law. Where possible, we will notify the user in advance and explain the reason.

The Service, including its software, design, content and trademarks, is owned by OSIAX and protected by intellectual property law. It may not be copied, modified, distributed or used to create derivative works without our written permission.

The user keeps all rights to their content (such as their offer, business information and messages). The user grants OSIAX a non-exclusive, royalty-free license to use and process that content only as needed to provide the Service.

The Service is provided “as is” and “as available”. To the extent permitted by Italian law, OSIAX is not liable for indirect or consequential damages, including loss of profits, data or business opportunities, or for restrictions that platforms apply to the user’s accounts.

To the same extent, OSIAX’s total liability for any claim relating to the Service is capped at the amounts the user paid to OSIAX in the 12 months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud (wilful misconduct) or gross negligence, in accordance with Article 1229 of the Italian Civil Code, or any other liability that cannot be excluded by law.

The user agrees to indemnify and hold OSIAX harmless from claims, damages and costs (including reasonable legal fees) brought by third parties, including prospects and platforms, arising from the user’s breach of these Terms or of applicable law, or from the content sent in the user’s name.

We may update these Terms. We will give notice of material changes by email or in the app before they take effect, and the date at the top of this page will be updated. If the user does not accept the changes, they can stop using the Service and delete their account; continuing to use the Service after the changes take effect means accepting them.

These Terms are governed by Italian law. For business users, the Court of Genoa has exclusive jurisdiction over any dispute relating to these Terms or the Service.

Users who qualify as consumers keep the protections granted by the mandatory law of their country of residence, including the Italian Consumer Code where applicable, and may bring proceedings before the court of the place where they reside.
